Terms of Service

1. The service

Noted is a clinical note-drafting tool operated by Omar Matar ("we", "us"). It transcribes voice memos and generates structured clinical note drafts using AI. Noted is intended for registered or regulated mental health practitioners only.

2. Professional responsibility

All generated notes are drafts. You must review, edit, and take full professional responsibility for any clinical record you file. Noted does not provide clinical advice and is not a regulated medical device.

3. Data processing agreement

Where you process client personal data using Noted, you are the Data Controller and Noted is your Data Processor under Article 28 UK GDPR. By accepting these Terms you instruct Noted to:

  • Process audio and transcripts solely to generate clinical note drafts on your behalf
  • Delete audio immediately after transcription and transcripts immediately after note generation
  • Never use client data for any other purpose, including AI model training
  • Engage sub-processors only as listed in our Privacy Policy, on equivalent data protection terms
  • Notify you without undue delay of any personal data breach affecting client data

You confirm you have a lawful basis under Article 9(2)(h) UK GDPR to process your clients' health data using Noted, and that you have provided appropriate transparency to your clients about your use of third-party processing tools.

Processing on instructions only

Noted shall process personal data only on your documented instructions and for no other purpose. If Noted is required by UK law to process personal data other than as instructed, Noted shall inform you of that legal requirement before processing, unless that law prohibits such disclosure.

Noted engages the following sub-processors. All are bound by data protection terms no less protective than this Agreement.

Audit rights

You may, upon reasonable written notice of at least 14 days, request information to verify Noted's compliance with this Agreement. Where a formal audit is required, this may be conducted by an independent third-party auditor agreed by both parties, the costs of which shall be borne by you as the Controller.

End-of-contract data handling

Upon termination or expiry of this Agreement, or upon written request, Noted shall delete all personal data processed on your behalf within 30 days and confirm in writing that deletion has been completed. Account data (name, email, subscription status) is deleted immediately upon account deletion request. Because no clinical content is stored on Noted's servers, deletion of account data constitutes full erasure of all data Noted holds on your behalf.

4. Acceptable use

You must not use Noted to process data about individuals without an appropriate professional or legal basis to do so.

5. Subscription and billing

Free accounts are limited to 20 notes per calendar month. Pro accounts are billed monthly or annually via Stripe. You may cancel at any time; access continues until the end of the billing period. No refunds for partial periods unless required by law.

6. Liability

To the extent permitted by law, Noted is not liable for loss of data, missed sessions, or professional consequences arising from use of the service. Our total liability is limited to fees paid in the 12 months preceding any claim.

7. Governing law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
